Terms & conditions

1. Scope

These Terms and Conditions apply to all courses, training sessions, workshops, educational programmes and related services offered by EMITEC (“EMITEC”, “we”, “us” or “our”).

By enrolling in a course, the enrollee (“Enrollee”, “you” or “your”) accepts these Terms and Conditions.

2. Enrolment

An enrolment becomes effective once EMITEC has received the enrolment request and confirmed the enrolment.

EMITEC reserves the right to refuse an enrolment or to limit the number of participants in a course.

3. Course fees and payment

The applicable course fee is communicated at the time of enrolment or is stated on the relevant course description.

Payment must be made no later than 72 hours before the scheduled start of the course, unless explicitly agreed otherwise in writing by EMITEC.

Payment must be made by bank transfer to the IBAN specified by EMITEC, for the exact amount stated on the invoice or payment request.

All payments must be made in Euro (EUR).

Any bank charges, transfer costs, currency conversion costs or other costs associated with making the payment are the responsibility of the Enrollee. EMITEC must receive the full invoiced amount.

If the required payment has not been received by the payment deadline, EMITEC may cancel the enrolment and make the place available to another participant.

4. Cancellation by the Enrollee

The Enrollee may cancel their participation by notifying EMITEC in writing.

For a refund of the course fee, the cancellation must be received by EMITEC at least 24 hours before the scheduled start of the course.

Where the cancellation deadline is respected, EMITEC will refund the amount paid for the course, subject to any applicable transaction or bank charges that cannot be recovered by EMITEC.

Cancellations received less than 24 hours before the scheduled start of the course are normally non-refundable.

Failure to attend a course without prior cancellation is considered a cancellation less than 24 hours before the start of the course and is therefore normally non-refundable.

5. Cancellation or rescheduling by EMITEC

EMITEC reserves the right to cancel, postpone or reschedule a course, for example because of insufficient enrolment, instructor availability, technical problems, force majeure or other circumstances beyond EMITEC's reasonable control.

If EMITEC cancels a course, the Enrollee will be offered, where reasonably possible, either:

— participation in the rescheduled course; or

— a refund of the course fee.

EMITEC will not be responsible for additional costs incurred by the Enrollee as a result of a cancelled or rescheduled course, such as travel, accommodation or other related expenses.

6. Course materials and intellectual property

All course materials provided by EMITEC, including but not limited to presentations, slides, documents, exercises, examples, source code, software, recordings, diagrams, methodologies and other educational content, remain the intellectual property of EMITEC or their respective rights holders.

Course materials are provided exclusively for the Enrollee's own educational and personal use.

The Enrollee may use the materials for their own learning and educational purposes but may not, without prior written permission from EMITEC:

— distribute, publish or share the materials with third parties;

— sell, rent, license or otherwise commercially exploit the materials;

— reproduce or substantially copy the materials;

— upload the materials to public or private repositories, websites or file-sharing platforms;

— use the materials to provide training or educational services to third parties; or

— remove copyright, ownership or other proprietary notices.

The Enrollee is responsible for ensuring that course materials are not made available to persons who have not enrolled in the relevant course.

7. Third-party materials and software

Courses may include references to, demonstrations of, or exercises using third-party software, platforms, services, libraries or other materials.

Such third-party products and services remain subject to their respective terms and conditions and licences. EMITEC does not guarantee the continued availability, functionality or licensing conditions of third-party services.

Where participants are required to create accounts or obtain licences for third-party services, this will be communicated where reasonably possible.

8. Educational nature of the services

EMITEC provides educational and training services. Course content is intended to support learning and understanding and does not constitute professional, legal, financial, medical or other regulated advice unless explicitly stated otherwise.

EMITEC makes reasonable efforts to ensure that course content is accurate and up to date but cannot guarantee that all information will remain current after the course has been delivered.

9. Participant responsibilities

Participants are expected to:

— provide accurate information during enrolment;

— comply with reasonable instructions from the instructor;

— behave respectfully towards instructors and other participants;

— use course facilities, systems and software responsibly; and

— comply with applicable laws and the terms of any third-party services used during the course.

EMITEC may exclude a participant from a course where their behaviour is disruptive, abusive, unlawful or materially interferes with the learning experience of other participants.

10. Liability

EMITEC will provide its services with reasonable care and professional diligence.

To the extent permitted by applicable law, EMITEC shall not be liable for indirect or consequential losses arising from participation in a course, including loss of business, loss of income, loss of data or loss of opportunity.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

11. Force majeure

EMITEC shall not be liable for failure or delay in performing its obligations where this is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, war, strikes, governmental measures, major technical failures, internet or telecommunications failures, or other events of force majeure.

12. Privacy and personal data

EMITEC will process personal data in accordance with applicable Belgian and European data protection legislation, including the General Data Protection Regulation (GDPR).

Personal information provided during enrolment will be used for purposes reasonably related to the administration and delivery of the course, including registration, communication, invoicing and payment administration.

13. Changes to course content

EMITEC may make reasonable changes to course content, instructors, examples, exercises, software versions or course structure where necessary to maintain or improve the quality and relevance of the course.

Such changes will not materially reduce the educational value of the course.

14. Applicable law and jurisdiction

These Terms and Conditions are governed by the laws of Belgium, without prejudice to any mandatory consumer protection provisions that may apply.

Any dispute that cannot be resolved amicably shall be submitted to the competent courts in Belgium, subject to applicable mandatory jurisdiction rules.

15. Amendments

EMITEC reserves the right to update these Terms and Conditions from time to time.

The version applicable to an enrolment is the version in force at the time the enrolment is confirmed, unless otherwise required by applicable law.
